These Terms of Service ("Terms") govern your access to and use of the DataSpline website, APIs, and related services (collectively, the "Service"). The Service is owned and operated by Swix LLC, a Wyoming limited liability company ("Swix LLC", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You may use the Service only if you:

  • are at least 18 years old (or the age of majority in your jurisdiction);
  • have the power to enter into a binding contract with us; and
  • are not barred from using the Service under any applicable laws.

2. Accounts and Security

You may need an account to use parts of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must promptly notify us of any unauthorized access or suspected security breach. We are not liable for any loss or damage arising from your failure to safeguard your account.

3. Use of the Service

You agree that you will not, and will not permit others to:

  • use the Service in violation of any applicable law or regulation;
  • access or use the Service to infringe, misuse, or violate the rights of any third party;
  • attempt to interfere with, disrupt, or compromise the integrity or security of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Service except to the extent allowed by law;
  • use the Service for abusive, automated, or fraudulent activity, including spam, scraping that violates target-site terms, or unauthorized data collection where prohibited by law.

4. Subscriptions, Billing, and Trials

Parts of the Service may be offered on a paid subscription or usage-based billing model. Pricing, limits, and plan details may be described on our website or in a separate agreement.

By starting a paid subscription or adding a payment method, you authorize us and our payment processors to charge all applicable fees and taxes to your chosen payment method. Fees are generally non-refundable unless we state otherwise or are required by law.

We may change pricing or plan features from time to time. If we make material changes to paid plans, we will attempt to provide reasonable notice before the changes apply to your next billing cycle.

5. Data, Privacy, and Logs

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for any data you send to or store through the Service and for complying with all applicable data protection and privacy laws with respect to your end users and the data you process.

6. Your Content

You retain all rights to content, data, and materials you upload, submit, or process through the Service ("Your Content"). You grant Swix LLC a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display Your Content as reasonably necessary to operate and improve the Service.

You represent and warrant that you have all rights, licenses, and permissions needed to use and submit Your Content in connection with the Service and to grant us the license described above.

7. Intellectual Property

The Service, including all software, systems, design, text, graphics, logos, and other materials (excluding Your Content), is owned by Swix LLC or our licensors and is protected by intellectual property laws.

Except for the limited rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Service. No rights are granted to you by implication or otherwise.

8. Third-Party Services

The Service may integrate with or rely on third-party services, APIs, or platforms. We do not control and are not responsible for third-party services, their terms, or their policies.

Your use of third-party services is at your own risk and may be subject to additional terms and privacy policies between you and the relevant third party.

9. Beta Features and Changes to the Service

We may offer experimental or beta features that are identified as such or that are clearly unstable or incomplete. Beta features are provided "as is", may not be supported, and may be discontinued at any time.

We may modify, suspend, or discontinue parts or all of the Service at any time, with or without notice. Where reasonably possible, we will try to avoid changes that materially and adversely affect active customers without prior notice.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, we disclaim all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

11. Limitation of Liability

To the fullest extent permitted by law, Swix LLC and its members, managers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of or inability to use the Service.

To the extent we are found liable, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the three (3) months immediately preceding the claim, or (b) one hundred U.S. dollars (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Swix LLC and its members, managers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;
  • Your Content; or
  • Your violation of these Terms or any applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe:

  • you have violated these Terms;
  • your use of the Service creates risk or potential legal exposure; or
  • we are required to do so by law.

Upon termination, your right to use the Service will immediately end. Certain provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, limitations of liability, and indemnity.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, USA, and you consent to the personal jurisdiction and venue of those courts. If you are a consumer in a country where local law prohibits this choice of law or forum, this clause applies only to the extent permitted by that local law.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as updating the "Last updated" date at the top of this page or providing a notice within the Service.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
